Terms of service
Definitions
For purposes of this Agreement, “Materials” includes all garments, fabrics, textiles, linens, yarn-based items, soft goods, apparel, blankets, uniforms, bedding, sentimental fabric items, and related personal or heirloom materials submitted by Customer to Josephine & Co. for custom creation services.
1. Nature of Submitted Materials
Customer acknowledges that garments, fabrics, textiles, and related sentimental materials submitted to Josephine & Co. may be vintage, delicate, aged, worn, stained, structurally weak, fragile, previously repaired, smoke exposed, pet exposed, handmade, discontinued, or irreplaceable.
Customer understands that heirloom and memorial materials inherently carry unpredictable characteristics and may react unexpectedly during production despite reasonable care and professional craftsmanship.
2. Irreversible Alteration of Materials
Customer acknowledges and agrees that submitted Materials will be permanently altered, cut, sewn, stabilized, pressed, reinforced, embroidered, deconstructed, reconstructed, and transformed into a custom handmade heirloom product.
Once production begins, Materials cannot be restored to their original condition.
3. Risk of Damage
While Josephine & Co. exercises reasonable care and professional craftsmanship, Customer acknowledges that the following may occur during production despite best efforts:
• tearing
• seam separation
• fraying
• fabric distortion
• shrinkage
• discoloration
• fading
• dye transfer
• hidden deterioration
• weakened fibers
• heat sensitivity
• embroidery puckering
• interfacing reactions
• material stretching
• needle marks
• adhesive transfer
• age-related degradation
Josephine & Co. is not responsible for damage resulting from the age, condition, instability, composition, prior use, hidden defects, or fragility of submitted Materials.
4. Limitation of Liability
Customer understands that submitted Materials may possess sentimental, emotional, historical, or personal significance exceeding their market value.
In the event of loss, damage, or destruction arising from any cause, Josephine & Co.’s total liability shall be limited to:
• the amount paid by Customer for services rendered, OR
• the fair market replacement value of the submitted Materials,
whichever amount is less.
Josephine & Co. shall not be liable for sentimental value, emotional distress, loss of memories, consequential damages, indirect damages, incidental damages, punitive damages, or special damages under any circumstances.
5. Shipping Risk
Customer assumes all risk associated with shipping Materials to Josephine & Co.
Josephine & Co. strongly recommends:
• shipment tracking
• shipping insurance
• secure packaging
• signature confirmation
for all inbound shipments containing sentimental or irreplaceable Materials.
Risk of loss transfers back to Customer once completed items are delivered to the shipping carrier.
Josephine & Co. is not responsible for carrier-related delays, loss, theft, or damage occurring during transit.
6. Design Interpretation
Each heirloom piece is uniquely handmade.
Final placement, pattern visibility, seam positioning, fabric usage, and design interpretation are at the discretion of Josephine & Co. unless otherwise agreed in writing.
Minor variations are inherent to handcrafted work.
7. Unused Materials & Remnants
Unused fabrics, garments, textiles, and material remnants may be discarded or recycled following completion of the order unless Customer specifically requests return of remaining Materials prior to production.
If Customer requests return of unused Materials:
• additional handling and shipping fees will apply
• return packaging may be consolidated at Josephine & Co.’s discretion
• Josephine & Co. is not responsible for preserving all scraps or minor remnants generated during production
Josephine & Co. reserves the right to discard unusable, unsafe, excessively damaged, contaminated, or insignificant remnants.
8. Turnaround Times
Estimated turnaround times are approximate and not guaranteed.
Josephine & Co. is not responsible for delays caused by:
• shipping carriers
• incomplete intake information
• material instability
• illness
• force majeure events
• equipment failure
• seasonal demand volume
9. Care Instructions
Finished heirloom items are decorative keepsakes and should be handled gently.
Josephine & Co. is not responsible for damage caused by:
• improper cleaning
• machine washing
• pets
• moisture
• sunlight exposure
• heavy wear
• misuse
10. Refusal of Materials
Josephine & Co. reserves the right to refuse, cancel, or discontinue work involving Materials that are:
• heavily soiled
• mold contaminated
• insect infested
• wet
• hazardous
• bio-contaminated
• structurally unstable
• otherwise unsuitable for safe handling or production
If such conditions are discovered after receipt, Customer may be responsible for return shipping and disposal costs.
Third-Party Trademarks
Josephine & Co. creates custom heirloom pieces from customer-supplied garments and textiles. Some submitted materials may contain third-party logos, trademarks, team names, school names, brand names, or artwork. Josephine & Co. is not affiliated with, sponsored by, endorsed by, or licensed by any third-party brand, sports team, league, school, organization, or trademark owner. Any third-party marks appearing on finished keepsakes are part of the customer’s original submitted materials and are used only at the customer’s request as part of a custom transformation service.
